These Terms of Service ("Terms") govern your access to and use of the Sotto platform and APIs provided by Kodea LLC ("Sotto", "we", "us", or "our"). By registering for or using the Services, you agree to these Terms on behalf of yourself and the business entity you represent.

Sotto provides B2B payment infrastructure services exclusively to businesses. If you are an individual seeking to send or receive payments, these Services are not intended for you.

You may use the Sotto platform solely for lawful business purposes in connection with payment collection, conversion, and disbursement services. You agree not to:

3. Compliance Obligations

You are solely responsible for ensuring your use of the Services complies with all applicable laws and regulations in every jurisdiction where you operate, including without limitation anti-money laundering (AML), counter-terrorism financing (CTF), sanctions screening, and data protection laws.

You must maintain and enforce your own KYC/AML policies with respect to your end users and must not onboard or transact on behalf of sanctioned individuals or entities. Sotto may perform its own sanctions screening and may refuse or reverse transactions at its discretion.

4. API Keys and Security

You are responsible for maintaining the confidentiality of your API credentials. You must notify us immediately at hello@kodea.la if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your credentials.

5. Fees and Payment

Platform fees are agreed upon in your service agreement or order form. We reserve the right to suspend access for non-payment. All fees are non-refundable unless otherwise stated in writing.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party provider outages, and force majeure events may affect availability. We are not liable for losses caused by service interruptions beyond our reasonable control.

7. Limitation of Liability

To the maximum extent permitted by law, Sotto's total liability to you for any claim arising from or related to the Services shall not exceed the fees paid by you in the three (3) months preceding the claim. In no event shall Sotto be liable for indirect, incidental, special, consequential, or punitive damages.

8. Indemnification

You agree to indemnify and hold harmless Kodea LLC and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party rights.

9. Termination

Either party may terminate access to the Services with 30 days written notice. We may terminate or suspend access immediately if you breach these Terms, fail to meet compliance requirements, or if continued access poses a legal or regulatory risk to Sotto.

10. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in Sheridan, Wyoming, except that either party may seek injunctive relief in any court of competent jurisdiction.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email to your registered address. Continued use of the Services after the effective date constitutes acceptance.
